Rules & Regulations
1. Management – The word “Management” as used herein shall mean ECA WORLD FITNESS ALLIANCE and/or its authorized agents or representatives acting for same in the management of the ECA/OBOW NY FITNESS CONVENTION & TRADE SHOW.
2. Exhibitors and Acceptability – The company named on submitted registration form will hereby be referred to as “Exhibitor.” Exhibits will be limited to those companies or other entities offering materials, products or services of specific interest to the consumer/trade segment targeted. The “booth/table” (referred to as the space company is actually leasing from “Management”) area must be professionally produced & maintain a clean, neat appearance. “Management” reserves the right to refuse or determine the acceptability of any product for display and may request a booth/table set-up plan. “Management” shall determine the acceptability of any “Exhibitor” at its sole discretion. “Management” also reserves the right to request “Exhibitor” to remove any unsightly boxes, cartons, bags, etc. from the exhibit floor at the expense of the “Exhibitor”.
3. Subleasing – No “Exhibitor” shall assign, sublet or share the space allotted with another business or firm unless written approval has been obtained from “Management”. “Exhibitor” is not allowed to feature names or advertisements of non-exhibiting firms, distributors or agents in the Exhibitors’ display.
4. Restrictions on use of space – “Exhibitor” must show only goods manufactured or dealt in by them in the regular course of business. Solicitations or demonstrations by “Exhibitors” must be confined to the designated booth space purchased by the “Exhibitor” unless other contracted space designated by “Management”. Aisle space shall not be used in any way for exhibit purposes, display signs,solicitation or distribution of any promotional materials. Exhibits, signs, or distribution of promotional materials in any way is also prohibited in any of the public space within the hotel/meeting space including guest rooms and hallways, unless prior consent from “Management” under separate sponsor contract is agreed upon.
5.Maintaining Exhibits
BOOTH: – Booth package includes 8′ depth by 10′ width space including an 8′ back drape and 3′ side wall drapes unless otherwise agreed. Booth packages include a 6′ draped table and ID sign. Hours are noted on exhibitor registration form and subject to change. “Exhibitor” is also responsible for set-up during designated set-up times only, and to provide a representative during all hours exhibit space is open. Additional set-up time, if necessary can be requested from “Management” if necessary. Any labor or fees necessary to set-up, move, store the equipment is the full responsibility of the “Exhibitor”. “Exhibitor” must comply with all rules set by union decorating company over trade show space and all hotel regulations regarding load-in, occupancy and breakdown.
TABLE TOP – It is fully understood that this space is not in the exhibit hall, but on the 6th floor pre-function area. Hours are Friday, Saturday& Sunday 10am-5pm. This space is not secured and all equipment must be removed and stored nightly. We recommend breakdown and storing it in your hotel room. Space MUST be vacated by 5 PM nightly regardless of exhibitor hours in the Ballroom.”Exhibitor” is also responsible for timely set-up daily. Set-up hours are Friday, 9:00AM; Saturday 9:00AM & Sunday, 9:00AM. Any labor or fees necessary to set-up, move, store the equipment is the full responsibility of the “Exhibitor”.
6. Default in Occupancy – If exhibit space is not occupied by the time set for completion of installation, such space may be possessed by “Management” for such purposes as it may see fit.
7. Construction of Exhibits – Exhibits shall be constructed and arranged so that they do not obstruct or impair the presentation of another Exhibitor. “Management” shall have full discretion and authority in the final placing, arrangement, and appearance of all items displayed by Exhibitor and may require the replacing, rearrangement or redecorating of any items displayed and no liability shall attach to “Management” for costs that devolve upon “Exhibitor” thereby. No exhibit side wall may extend higher than 36″ beyond 4′ from the back wall. No wall may extend higher than 8′. Any planned variation to these restrictions must be submitted to show management at least 30 days prior to show date and approved with management and official decorating company.
8. Fire & Safety Regulations – All local and state regulations will be strictly enforced and the Exhibitor assumes full responsibility for compliance with these regulations.
9. Sound Level – Mechanical or electrical devices which produce sound must be operated so as not to prove disturbing to other exhibitors. Management reserves the right to determine the acceptable sound “level in all such instances.
10. Special Services – Electricity, Gas, Water and other utilities as well as other special services needed by individual Exhibitors, are provided only when the “Exhibitor” orders and agrees to pay for them specially from the person authorized to supply such services in conformity with Hotel, Event Management, New York City, Insurance and other requirements.
11. Labor/Dryage – Advance shipments of exhibit material must be pre-paid and arrangements made directly with the Hotel receiving department or the Official show decorator/dryage company who will be sending out the official Exhibitor kit approximately 30 days prior to show date. “Exhibitor” is required to comply with all contracts in effect between show management, hotel, show decorator, labor unions or other service contractors. Any “Exhibitor” utilizing service contractors other than those designated as Official contractors by “Management” must notify and seek the consent of “Management” and the official decorating company in writing at least 30 days prior to set-up date and include the contractor’s name and address, certificate of liability, worker’s compensation and property damage insurance, proper license and a statement of agreement that the contractor will comply with all rules and regulations governing the show.
12. Space Registration – Registration for booth/table space must be accompanied by full payment and signed acknowledgement of Exhibitor’s Rules and Regulations before a booth/table assignment is made. All dimensions and locations shown on the official floor plan are believed, but not guaranteed, to be accurate. Management reserves the right to change booth/table location or to make such modifications as may be necessary to meet the needs of the overall Exhibit program.
13. Booth/Table Representative – Representatives shall be restricted to “Exhibitor”‘s employees and their authorized representatives. Representatives shall wear identification badges provided by ECA at all times. The signed “Exhibitor” and any of his representatives agrees to abide by the foregoing rules and by any amendments that may be put into effect by management. All booths/tables must be staffed by the Exhibitor during all show hours. Management reserves the right to limit the number of said representatives and whether the character and/or attire of personnel is acceptable and in keeping with the best interests of other Exhibitors and the Event itself. Exhibitor reps are restricted to Trade show only and may not attend sessions. Special conference rates will be made available to those wishing to attend sessions, based on availability.
14. Cancellation of Contract – In the event that written notification of intent to cancel is received by management 60 days or more prior to the opening of the show, all but $500, for processing and handling, of the Exhibitor’s payment will be refunded. Notification of cancellation less than 60 days prior to the opening of the show obligates the exhibitor to pay the full rental fee. In the event that “Management” may still be able to fill the space, 50% will be refunded.
15. Reception/Parties – Any “Exhibitor” wishing to host a reception, party or focus group for attendees whether on-site or off premises must get written authorization from “Management”. Failure to get authorization may jeopordize continuation of exhibiting.
16. Photography – No photographing and/or videotaping will be permitted without authorization from “Management”. Performance of this contract permits the use of any video or photography of yourself, your company or your product from the Event for the future promotion of ECA or it’s designated party.
17. Cancellation of Show – In the event that the premises in which the Exhibition is to be conducted becomes, in the sole discretion of “Management”, unfit for occupancy, or in the event the holding of the Exhibition or the performance of “Management” under the contract are substantially interfered with by virtue of any cause or causes not reasonably within the control of “Management” said contract and/or the Exhibition (or any part thereof) may be terminated by “Management”. “Management” shall not be responsible for delays, damage, loss, increased cost, or other unfavorable conditions arising by virtue of cause or causes not reasonably within the control of “Management.” If “Management” terminates said contract and/or Exhibition (or any part thereof) as aforesaid, then “Management” may retain such partof an “Exhibitor”‘s rental as shall be required to recompense it for expenses incurred up to the time such contingency shall have occurred and there shall be no further liability on the part of either party. For purposes hereof the phrase “cause or causes not reasonably within the control of Management” shall include but not limited to fire, casualty, flood, epidemic, earthquake, explosion or accident, blockade, embargo, inclement weather, governmental restraints, restraints or orders of civil defense or military authorities, act of public enemy, riot or civil disturbance, strike, lockout, terrorism, boycott or other labor disturbance, or any other act of God.
18. Security – “Management” may at it’s sole option provide security continually from the set-up to the break-down of the Exhibit area. The furnishing of such service shall not be construed to be any assumption of obligation or duty with respect to the protection of the property of the “Exhibitor”, which at all times shall remain the sole responsibility of each exhibitor. “Exhibitor” may furnish additional guards at their own cost and expense with written authorization from “Management”. “All Risk” insurance on products and equipment while in transit to and from, and while in the exhibit area, will protect your exhibit. YOU MUST CONTACT YOUR INSURANCE AGENT FOR THIS COVERAGE for the period of the Exposition. Since no inventory can be confirmed, your merchandise is your responsibility, and it is advised to protect it accordingly.
19. Limitation of Liability – The “Exhibitor” agrees to indemnify and hold harmless “Management”, Exhibition Facility, and their Officers, Agents or Employees against all claims, losses, suits, damages,judgements, expenses, costs, and charges of every kind resulting from its occupancy of the space herein contracted for by reason of personal injuries, death, property damages, or any other cause sustained by any persons or others. “Management” shall not be responsible for loss or damage to displays belonging to Exhibitors whether resulting from fire, storm, acts of God, air conditioning or heating failure, theft, pilferage, mysterious disappearance, bomb threats, or other causes.
20. Resolution of Disputes – In the event of a dispute or disagreement between an “Exhibitor” and an Official Contractor, or between an “Exhibitor” and a Labor Union or Labor Union Representative or between 2 or more “Exhibitors”, all interpretations of the rules governing the Exhibition, actions, or decisions concerning this dispute is judgement by “Management” intended to resolve the dispute or disagreement and shall be binding on the Exhibitor.
21. Losses – “Management” shall bear no responsibility for damage to “Exhibitor” property or lost shipments either coming in or going out, nor for moving costs. The “Exhibitor” is advised to insure against these risks.
22. Insurance – Insurance liability is the full and sole responsibility of the “Exhibitor”. “Exhibitor” agrees to protect, save, and defend and keep “Management” and agents forever harmless from any damages or charges imposed for violation of any law or ordinance occasioned by the negligence of the “Exhibitor” or those holding under the “Exhibitor”, as well as to comply strictly with the applicable terms under the exhibit facility regarding the exhibition premises. Furthermore, the “Exhibitor”shall at all times protect, indemnify, defend and keep ECA and its agents harmless against and from any and all loss, costs, damage, liability or expense from, out of or other occurrence to anyone including the”Exhibitor” its agency, employees and business invitees that arises from or out of by reason of the said “Exhibitor”‘s occupancy and use of the exhibit premises or part thereof. “Exhibitor” is advised to see that his regular insurance company maintains extra-territorial coverage and theft, liability, and property damage insurance, as previously mentioned, or obtain “All Risk” insurance.
23. Amendment to Rules – Any matter specifically not covered in the preceding rules shall be subject solely to the decision of “Management”. “Management” shall have the power in the matter of interpretation, amendment, and enforcement of all such rules and regulations so that any such amendment when made and brought to the notice of said “Exhibitor” shall be and become part hereof as though duly incorporated herein.
24. Default – If the “Exhibitor” defaults in any of its obligations under these rules or violates any of its obligations or covenants under this contract, the “Management” may without notice terminate this agreement and retain all monies received on account as liquidated damages. The “Management” may thereupon direct the “Exhibitor” forthwith to remove its employees, agents, and all of its articles of merchandise and other personal property from the space contracted for & from the Exhibition facility.
By my submitting the registration form or executed sponsor contract, I have read and fully understand the rules and regulations above (5 full pages). I understand that our failure to comply with these rules and regulations may result in our immediate removal from the show and/or jeopardize our consideration for space in future ECA events.
